Verto Homes - Secured Loan Note

Thank you for your intent to acquire a Verto Homes Secured Loan Note. Here’s a quick recap of the details, and information on what to do next:

Verto Homes is issuing a Secured Loan Note in order to raise funds to acquire and develop a pipeline of exciting new property-development projects

Having already raised £5m from our shareholders, we are offering Angels Den members the opportunity to assist the company in reaching our target of £10m

The Secured Loan Note will pay out interest of 10% per annum and will be issued for 18 months

The Secured Loan Notes are secured with the benefit of a fixed and floating charge over all of Verto Homes assets, including the development companies that own the underlying freehold land sites

The Secured Loan Note will be redeemed from the proceeds of the sale of Verto Homes completed properties

Fieldfisher LLP has advised Verto Homes on the legal structure of the Secured Loan Note

Capita Trust Services is acting as an independent security trustee on behalf of the noteholders

  • The Secured Loan Note Funding Pack has been drafted to provide background information on the Secured Loan Note, the underlying security portfolio, the loan terms and the security trustee

Secured Loan Note Agreement

  • The Secured Loan Note Agreement is the legal document that covers your rights as a noteholder, the obligations of Verto Homes as issuer and the obligations of Capita Trust Services as independent security trustee. The Secured Loan Note Agreement comprises of the Loan Note Instrument, the Trust Deed and the Debenture. On page 13 of the Loan Note Instrument you will find a draft copy of a loan note certificate, which will be issued to you on completion of this issue

Loan Note Subscription Letter

  • The Loan Note Subscription Letter outlines the terms of your purchase of the Secured Loan Note
